Please read this Legal Notice carefully before purchasing or using any templates, spreadsheets, or digital tools (collectively referred to as the "Product" or "Systems") provided by Marginstead Systems ("we," "our," or "us"). By accessing our website or purchasing our digital products, you agree to be bound by the terms outlined below.

1. No Professional Advice Disclaimer
All information, calculators, architectures, and tools provided within Marginstead Systems (including the Contractor Profit OS™) are intended **solely for general operational and educational purposes**.

 

Not Financial or Accounting Advice:

Marginstead Systems is not a certified public accountant (CPA), financial advisor, or legal firm. The tools provided are meant to assist with internal organization and tracking, but they do not substitute for professional financial planning, auditing, or tax preparation.

User Responsibility:

You are entirely responsible for verifying the accuracy of any bids, expenses, payroll calculations, or financial metrics generated by our systems before relying on them for commercial transactions. Always consult with a licensed accountant or financial professional regarding your specific business finances, tax liabilities, and legal obligations.

2. "As-Is" and Protection of Data

Our digital products are provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied.

Formula Alterations:

While our sheets are built with protected formula blocks to prevent accidental deletion, any user modifications, manual overrides, or structural changes to the underlying code or cell relationships are done at the user's own risk. We are not responsible for troubleshooting or correcting sheets broken by user modifications.

Data Security:

Marginstead Systems operates entirely within your personal Google Drive environment. We do not host, store, or have access to your proprietary company numbers, client databases, or crew hours. You are solely responsible for managing your own Google Workspace permissions and data backups.

3. Limitation of Liability

To the maximum extent permitted by applicable law, Marginstead Systems shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with your use of our products.

This includes, but is not limited to:

Loss of business profits, revenue, or data.
Underbidding or overbidding on contracts.
Labor or tax penalties resulting from inaccurate crew or 1099 tracking.
Business interruptions or audit discrepancies.

In no event shall our total liability to you for all damages, losses, and causes of action exceed the exact amount paid by you to Marginstead Systems for the specific digital asset purchased.

 

4. Intellectual Property & Single-User License

When you purchase a product from Marginstead Systems, you are granted a non-exclusive, non-transferable, revocable, single-user license for internal business operations only.

Prohibited Uses:

You may not resell, redistribute, sub-license, package, or publicly share the master Google Sheet templates, formulas, or layouts. You may not reverse-engineer our proprietary architectures to create competing digital products.

Enforcement:

All designs, brand assets, slogans, and custom formulas are the intellectual property of Marginstead Systems. Unauthorized commercial distribution of our files will result in immediate termination of your license and potential legal action for copyright infringement.
